E-Services Agreement

AGREEMENT in respect of access to KESTREL E-SERVICES

It is hereby agreed that the undersigned intends to use the services offered by KESTREL S.A. and its subsidiaries
("Kestrel") in respect of access to KESTREL E-SERVICES.

With KESTREL E-SERVICES identity shall not be established by means of signature verification by Kestrel. Instead
the undersigned provides proof of identity by means of electronic aids such as PIN code and Agreement number.

The undersigned hereby agrees to the authentication procedures and takes full responsibility for the use of electronic
aids which give direct access to the relationship, its assets and its operations. Therefore electronic aids must NOT be
passed to any Third Party.

KESTREL E-SERVICES automatically covers all transactions in connection with present and future relationships on
behalf of the undersigned, including banking and stock market operations.

This Agreement shall be exclusively governed by and construed in accordance with Swiss law. The exclusive place of
jurisdiction for any disputes arising out of or in connection with this Agreement shall be Neuchâtel, Switzerland.

Notwithstanding the foregoing, Kestrel reserves the right to refer any claim against the undersigned in respect of the
relationships in this Agreement to such party's domicile or to any other authority of competent jurisdiction, in which
event Swiss law shall continue to apply exclusively.

The undersigned hereby requests access to all relationships as listed below.
